2. Services & Proposals

BidWise Marketing provides marketing strategy, paid ad management, conversion tracking implementation, web development, and related services. Specific deliverables, fees, timelines, and milestones are governed by individual client proposals or Service Level Agreements (SLAs).

3. Advertising Media Spend & Third-Party Platforms

Unless explicitly agreed in writing, client advertising budgets (Google Ads, Meta Ads, TikTok, LinkedIn) are billed directly by the relevant advertising platforms to the client's payment method. BidWise Marketing acts as an authorized manager on your behalf.

We adhere strictly to platform advertising policies (such as Google Ads Policies and Meta Commercial Terms). While we employ industry-leading methodologies, third-party platforms reserve unilateral discretion over ad approvals, algorithm updates, and account status.

4. Client Responsibilities

Clients agree to:

  • Provide timely access to ad accounts, tag managers, and websites necessary for service delivery.
  • Ensure all promotional claims, trademarks, and creative assets comply with applicable consumer laws.
  • Maintain active payment methods on underlying advertising networks.

5. Intellectual Property

Upon full payment of agreed fees, clients retain ownership of custom creative deliverables, ad account configurations, and bespoke code produced during the engagement. BidWise Marketing retains rights to proprietary analytical templates, pre-existing frameworks, and methodologies.

6. Limitation of Liability

To the maximum extent permitted by law, BidWise Marketing shall not be liable for indirect, incidental, or consequential damages resulting from platform downtime, policy changes by third-party search engines, or algorithm adjustments.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States. Any disputes arising shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.
